These Terms of Service (“Terms”) govern your access to and use of RealYield, including our website, application, tools, features, content, subscriptions, AI-generated insights, deal analysis tools, portfolio management tools, collaboration features, and related services.

By accessing RealYield, creating an account, clicking an acceptance checkbox, or using any RealYield feature, you agree to these Terms. If you do not agree, you may not use RealYield.

If you use RealYield on behalf of a company, entity, brokerage, investment group, or other organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use RealYield.

By using RealYield, you represent that:

• You are at least 18 years old.
• You have the legal authority to enter into these Terms.
• You will use RealYield only in compliance with applicable laws.
• Any information you provide is accurate, current, and complete.

3. Privacy Policy

Your use of RealYield is also governed by our Privacy Policy, which explains how we collect, use, share, and protect information.

By using RealYield, you agree that we may collect and process information as described in the Privacy Policy.

4. Additional Terms

Some RealYield features, integrations, subscriptions, promotions, or workflows may include additional terms, disclaimers, or click-through agreements. Those additional terms apply only to the specific feature or service where they are presented.

If additional terms conflict with these Terms, the additional terms apply only to the relevant feature.

5. Accounts and Security

You may need an account to access certain RealYield features.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity under your account.
• Keeping your account information accurate and current.
• Promptly notifying RealYield if you believe your account has been compromised.

You may not:

• Share your account with unauthorized users.
• Impersonate another person or entity.
• Create fraudulent or misleading accounts.
• Use another person’s account without permission.

We may suspend, restrict, or terminate access if we believe your account creates risk, violates these Terms, or may have been compromised.

6. RealYield Services

RealYield provides tools and workflows that may include:

• Real estate deal analysis.
• Cash flow and return calculations.
• Portfolio tracking and management.
• AI-generated insights and recommendations.
• Property and rent estimate enrichment.
• Agent-investor collaboration.
• Uploaded file and document analysis.
• Saved deals and portfolio comparisons.
• Market, valuation, and investment-related outputs.

RealYield is a software platform. RealYield is not a financial advisor, investment advisor, broker-dealer, real estate broker, lender, law firm, accounting firm, tax advisor, property manager, inspector, contractor, or fiduciary.

7. No Financial, Legal, Tax, or Real Estate Advice

RealYield provides informational tools only.

RealYield does not provide:

• Financial advice.
• Investment advice.
• Legal advice.
• Tax advice.
• Real estate brokerage services.
• Lending advice.
• Insurance advice.
• Property management advice.
• Professional inspection advice.

Any analysis, recommendation, score, projection, alert, insight, estimate, explanation, or AI-generated output is for informational purposes only.

You are solely responsible for any investment, purchase, sale, financing, legal, tax, insurance, or operational decision you make.

Before making a real estate or investment decision, you should consult qualified professionals, including where appropriate:

• Licensed real estate agents.
• Attorneys.
• Tax advisors.
• Financial advisors.
• Lenders.
• Insurance agents.
• Inspectors.
• Contractors.
• Property managers.

8. AI, Calculators, Projections, and Analysis Tools

RealYield may provide calculators, underwriting tools, AI insights, deal scores, rent estimates, valuation outputs, portfolio recommendations, projections, and investment analysis.

You acknowledge that:

• Outputs may be inaccurate, incomplete, outdated, or based on incorrect assumptions.
• AI-generated outputs may contain errors or omissions.
• Results depend heavily on user-provided data and third-party data.
• RealYield does not guarantee any output, calculation, score, recommendation, estimate, or projection.
• RealYield does not guarantee profitability, cash flow, appreciation, financing approval, rent levels, occupancy, expense assumptions, tax outcomes, valuation accuracy, or investment performance.

You must independently verify all numbers, assumptions, and conclusions, including:

• Purchase price.
• Rent estimates.
• Expenses.
• Taxes.
• Insurance.
• Repairs.
• Vacancy.
• Property management fees.
• Financing assumptions.
• Cap rate.
• Cash-on-cash return.
• DSCR.
• IRR.
• ROI.
• NOI.
• Market data.
• Valuation data.
• Comparable properties.
• Local regulations.

Your use of RealYield outputs is at your own risk.

9. User Content and Uploaded Data

You may upload, submit, enter, import, or share data through RealYield, including:

• CSV files.
• PDF files.
• Property URLs.
• Property details.
• Financial assumptions.
• Portfolio records.
• Notes.
• Comments.
• Recommendations.
• Saved deals.
• Agent/client shared information.
• Investor profile information.
• Other materials or content.

You retain ownership of your uploaded content and data.

By using RealYield, you grant RealYield a limited, worldwide, non-exclusive license to host, store, process, analyze, display, transmit, and use your content and data solely to:

• Provide the platform.
• Generate analyses and insights.
• Enable collaboration features.
• Improve and secure the service.
• Troubleshoot, debug, and support users.
• Develop aggregated or anonymized insights.

You represent that:

• You have the rights and permissions needed to upload or share the content.
• Your content does not violate any law or third-party rights.
• Your content is not misleading, fraudulent, harmful, infringing, malicious, or unlawful.

We may remove or restrict content that we believe violates these Terms, creates risk, infringes rights, contains malware, or may harm RealYield or other users.

10. Feedback

If you submit feedback, suggestions, ideas, bug reports, product requests, or recommendations to RealYield, you agree that RealYield may use them without restriction or compensation.

Feedback may be used to improve, modify, develop, commercialize, or enhance RealYield products and services.

11. Agent and Investor Collaboration

RealYield may allow investors, agents, and other users to connect, invite each other, share deals, collaborate on opportunities, exchange notes, manage relationships, and participate in team-based workflows.

RealYield does not verify, guarantee, or endorse:

• Agent qualifications.
• Agent licensing.
• Investor qualifications.
• Property recommendations.
• Shared deals.
• User communications.
• Third-party advice.
• User performance.
• Deal quality.
• Transaction outcomes.

Any relationship, communication, agreement, representation, transaction, or dispute between users or third parties is solely between those parties.

RealYield is not a party to any real estate transaction.

RealYield is not responsible for disputes involving:

• Agents.
• Investors.
• Buyers.
• Sellers.
• Lenders.
• Inspectors.
• Contractors.
• Property managers.
• Attorneys.
• Insurance providers.
• Data providers.
• Other users or third parties.

12. Third-Party Services and Data

RealYield may integrate with or rely on third-party services, including:

• Payment processors.
• Authentication providers.
• Hosting and database providers.
• AI providers.
• Property data providers.
• Rent estimate providers.
• Valuation providers.
• Map and address providers.
• Analytics providers.
• Infrastructure providers.
• Email and communication providers.

Third-party data may be delayed, inaccurate, incomplete, unavailable, or different from actual market conditions.

RealYield does not warrant or guarantee third-party services or data.

Your use of third-party services may be subject to their own terms and privacy policies.

If RealYield includes map, address, or location features, those features may be powered by third-party providers such as Google Maps or similar services, and your use of those features may be subject to the provider’s terms.

13. Subscriptions, Billing, Renewal, Cancellation, and Refunds

RealYield may offer free and paid plans.

Paid plans may include Starter, Pro, or other subscription tiers.

By purchasing a paid subscription, you authorize RealYield and its payment processors to charge your selected payment method for applicable fees, taxes, and recurring subscription charges.

Unless otherwise stated:

• Subscriptions renew automatically.
• You must cancel before renewal to avoid future charges.
• Cancellation takes effect at the end of the then-current billing period.
• Fees are charged in advance.
• Payments are non-refundable.
• No refunds or credits are provided for partial billing periods, unused time, downgrades, or canceled subscriptions, unless required by law or expressly stated by RealYield.

RealYield may change plans, features, or prices with notice where required. Failed payments may result in suspension, downgrade, or termination of access to paid features.

14. Acceptable Use

You agree not to:

• Use RealYield for unlawful purposes.
• Upload malicious files, code, malware, or harmful content.
• Attempt unauthorized access to RealYield or related systems.
• Interfere with platform security or availability.
• Bypass rate limits, access controls, or subscription restrictions.
• Scrape, crawl, harvest, or extract data without permission.
• Reverse engineer, decompile, or attempt to derive source code.
• Resell, sublicense, or commercialize RealYield data or features without authorization.
• Upload content you do not have rights to use.
• Impersonate another person or organization.
• Misrepresent your identity, affiliation, licensing, or qualifications.
• Use RealYield to commit fraud or deceive others.
• Use RealYield outputs for illegal, discriminatory, misleading, or abusive purposes.
• Spam users or send unauthorized marketing.
• Abuse APIs, infrastructure, AI tools, or integrations.
• Use RealYield in a way that harms RealYield, other users, or third parties.

15. Intellectual Property

RealYield and its licensors own all rights, title, and interest in the platform, including:

• Software.
• Code.
• Design.
• Branding.
• Logos.
• User interface.
• Workflows.
• Templates.
• Scoring logic.
• System architecture.
• AI workflows.
• Product structure.
• Documentation.
• Content created by or for RealYield.

You may not copy, reproduce, modify, distribute, resell, sublicense, exploit, or commercialize RealYield or its content except as permitted by these Terms.

You are granted a limited, revocable, non-transferable, non-exclusive right to access and use RealYield for your personal or internal business purposes, subject to your subscription plan and these Terms.

16. Copyright Complaints

If you believe content on RealYield infringes your copyright, contact us at info@realyield.us with:

• A description of the copyrighted work.
• A description or location of the allegedly infringing content.
• Your name and contact information.
• A statement that you have a good-faith belief the use is not authorized.
• A statement that the information you provide is accurate.
• Your physical or electronic signature.

We may remove or restrict allegedly infringing content where appropriate.

17. Communications

RealYield may send you communications related to:

• Account activity.
• Product updates.
• Security alerts.
• Billing notices.
• Subscription changes.
• Transactional emails.
• Collaboration invitations.
• Shared deal notifications.
• Support messages.
• Legal updates.

You may unsubscribe from marketing emails where available, but you may still receive transactional, security, billing, and account- related communications.

If SMS or text messaging features are implemented in the future, additional SMS terms may apply.

18. Platform Changes and Availability

RealYield may modify, suspend, limit, discontinue, or remove any feature, service, integration, or content at any time.

RealYield does not guarantee:

• Continuous availability.
• Error-free operation.
• Continued support for any specific feature.
• Compatibility with all devices, browsers, or integrations.
• That data will always be available, preserved, or recoverable.

You are responsible for maintaining your own backups of important information.

19. Disclaimers

RealYield is provided “as is” and “as available.”

To the fullest extent permitted by law, RealYield disclaims all warranties, express or implied, including warranties of:

• Accuracy.
• Completeness.
• Reliability.
• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Availability.
• Security.
• Investment performance.
• Compatibility with your expectations.

RealYield does not warrant that the platform, servers, integrations, communications, files, or outputs will be free from errors, viruses, harmful components, interruptions, or security issues.

20. Limitation of Liability

To the fullest extent permitted by law, RealYield and its owners, officers, employees, contractors, affiliates, vendors, licensors, and service providers are not liable for:

• Investment losses.
• Lost profits.
• Lost revenue.
• Lost data.
• Missed opportunities.
• Property losses.
• Financing failures.
• Inaccurate analysis.
• AI-generated errors.
• Third-party data errors.
• User content.
• User disputes.
• Third-party service failures.
• Indirect, incidental, special, consequential, exemplary, or punitive damages.

RealYield’s total liability for any claim is limited to the amount you paid to RealYield in the 12 months before the event giving rise to the claim, or $100 if you did not pay RealYield during that period, unless applicable law requires otherwise.

21. Release for Third-Party Disputes

You release RealYield from claims, damages, losses, disputes, and liabilities arising from or related to your dealings with:

• Agents.
• Investors.
• Buyers.
• Sellers.
• Lenders.
• Inspectors.
• Contractors.
• Property managers.
• Attorneys.
• Insurance providers.
• Data providers.
• Other users.
• Other third parties.

This includes disputes related to advice, communications, transactions, services, fees, property condition, financing, inspections, contracts, or investment outcomes.

22. Indemnification

You agree to indemnify and hold harmless RealYield and its owners, officers, employees, contractors, affiliates, vendors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

• Your use or misuse of RealYield.
• Your violation of these Terms.
• Your uploaded content or data.
• Your violation of law.
• Your violation of third-party rights.
• Your disputes with users or third parties.
• Your investment, real estate, financing, or business decisions.

23. Termination

You may stop using RealYield at any time.

We may suspend, restrict, or terminate your access to RealYield at any time if:

• You violate these Terms.
• You misuse the platform.
• Your account creates security, legal, financial, or operational risk.
• Payment fails.
• We discontinue the platform or a feature.
• We are required to do so by law.

Termination may result in loss of access to your account, content, analyses, saved deals, portfolio data, and subscription features.

24. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Unless prohibited by law, any dispute arising from these Terms or RealYield will be brought in courts located in California.

25. Severability

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect.

26. No Waiver

RealYield’s failure to enforce any part of these Terms does not waive its right to enforce that or any other part later.

27. Entire Agreement

These Terms, together with the Privacy Policy and any applicable supplemental terms, form the entire agreement between you and RealYield regarding your use of the platform.

28. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on RealYield with the updated date. Continued use of RealYield after changes means you accept the updated Terms.
